"Payment of $185,000 by wire transfer no later than May 15, 2026" does not. For installments, spell out each date and what happens on a missed payment — usually acceleration plus interest.

Scope of the Release

Decide who releases whom, and for what. A mutual release covering all claims arising from the dispute is common. Consider whether it reaches officers, affiliates, insurers, and unknown claims. In California, releasing unknown claims generally requires an express waiver of Civil Code § 1542.

Confidentiality, Disposition, and Costs

Name what stays private: the amount, the terms, the existence of the dispute, or all three. List permitted disclosures — tax advisors, auditors, filings required by law — and the consequence of a breach. State that the arbitration is dismissed with prejudice once payment clears, then say who pays the arbitrator's fees and whether each side bears its own attorney fees.

Binding or Not: The Language That Decides

This is where most term sheets go wrong, in both directions. One party writes "subject to execution of a definitive settlement agreement," then acts surprised when the other side walks away — that phrase generally means nothing is enforceable yet. Another signs a short document as a placeholder and later learns a court treats it as a complete contract.

Courts look at intent, not labels. In Winston v. Mediafare Entertainment Corp., 777 F.2d 78 (2d Cir. 1985), the court weighed whether a party reserved the right not to be bound absent a signed writing, whether performance had begun, whether all material terms were settled, and whether the deal was the type usually put in a formal contract. Those factors still guide the analysis in most jurisdictions.

Make the choice on purpose. To bind on signature, write: "This term sheet is binding and enforceable.
